These Terms & Conditions govern the supply of services by Electrify Design, operated by Edward Clay
(“Electrify Design”, “we”, “us”), to you (“the client”, “you”). They apply to both consumers and
business clients.
By requesting a quote, commissioning services, approving proofs, or otherwise engaging Electrify Design,
you agree to be bound by these Terms & Conditions.
1. Services
Electrify Design provides creative and technical services including, but not limited to:
- Graphic design for print
- Digital design and artwork
- Website design and development
- Website and domain hosting management via third‑party providers
- Print management and full print services
- Supply of print‑ready artwork for use with third‑party printers or suppliers
All services, deliverables, pricing, and timescales will be agreed in writing prior to commencement.
2. Quotes, Orders & Payment
- All quotes are valid for 30 days unless otherwise stated.
- Work will commence upon written acceptance of the quote (via email or other agreed method).
- Invoices are payable within 30 days of invoice date, unless otherwise agreed in writing.
- Late payments may result in work being paused and may incur statutory interest and recovery costs in
accordance with the Late Payment of Commercial Debts (Interest) Act 1998. - All prices are exclusive of VAT unless stated otherwise.
3. Client Responsibilities
- You are responsible for supplying accurate, complete, and lawful content, including but not limited to:
- Text and copy
- Logos and images
- Contact details
- URLs, hyperlinks, and QR codes
- You confirm that you hold the legal right to use all supplied materials and that their use does not
infringe any third‑party intellectual property or other rights.
4. Proofing, Accuracy & Reasonable Oversight
- Proofs will be supplied prior to final production, printing, or delivery.
- You must carefully review all proofs, including but not limited to:
- Content, copy, spelling, and grammar
- Layout, formatting, and positioning
- Contact details
- URLs, hyperlinks, and QR codes
- Approval confirms that the proof is final and correct.
- While every reasonable effort is made to identify errors and check technical elements, Electrify Design
cannot be held responsible for errors, omissions, or inaccuracies once approval has been given. - Any costs arising from approved errors may be chargeable.
5. Print Services & Production
- All print artwork is prepared in line with recognised industry‑standard procedures.
- Colour variations may occur due to differences between screens, papers, inks, and print processes.
Exact colour matching cannot be guaranteed unless agreed in writing. - Minor variations in trimming, folding, registration, or finishing are industry‑standard and do not
constitute defects.
6. File Supply & Third‑Party Printers
- Where artwork is supplied for use by third‑party printers or suppliers:
- Technical elements are checked prior to supply
- Files are supplied in good faith as print‑ready
- Final responsibility for content accuracy remains with the client.
- Once files have been approved and supplied, Electrify Design is not responsible for errors occurring
during production, printing, distribution, or circulation. - Where Electrify Design liaises with third‑party suppliers, any issues must be raised prior to production
or circulation.
7. Website Design, Hosting & Domains
7.1 Website Design & Development
- Website projects may be delivered in stages and require timely client feedback.
- You are responsible for reviewing and approving the website prior to launch.
- Electrify Design cannot be held responsible for issues appearing after approval or launch unless covered
by an agreed maintenance arrangement.
7.2 Third‑Party Hosting Providers
- Hosting and domain services are provided via third‑party providers, including:
- Heart Internet Ltd
- Nettl (and associated providers)
- These services are supplied subject to the provider’s own terms, conditions, and service levels.
8. Deadlines & Project Timescales
- All timescales are estimates unless expressly agreed in writing.
- Reasonable endeavours will be used to meet agreed deadlines.
- Electrify Design is not liable for delays resulting from:
- Late client feedback or materials
- Third‑party services or suppliers
- Technical issues beyond reasonable control
9. Intellectual Property
- Upon full payment, ownership of final approved artwork transfers to you unless agreed otherwise.
- Electrify Design may display completed work for portfolio and marketing purposes.
- Preliminary concepts and unpaid work remain the property of Electrify Design.
10. Cancellations & Termination
- If a project is cancelled after work has commenced, you are liable for:
- All work completed to date
- Any non‑recoverable third‑party costs
- Deposits are non‑refundable unless agreed otherwise in writing.
11. Limitation of Liability
- Nothing limits liability for death, personal injury, or fraud.
- Electrify Design is not liable for:
- Loss of profits, business, data, or reputation
- Indirect or consequential loss
- Errors in approved artwork or reasonable oversight
- Total liability shall not exceed the total fees paid for the relevant project.
12. Consumer Rights
Nothing in these Terms affects your statutory rights under UK consumer law.
13. Confidentiality
Both parties agree to keep non‑public commercial or business information confidential unless required by law.
14. Force Majeure
Electrify Design is not liable for failure or delay caused by events beyond reasonable control.
15. Governing Law
These Terms & Conditions are governed by the laws of England and Wales.
