Electrify Design’s Terms & Conditions

These Terms & Conditions govern the supply of services by Electrify Design, operated by Edward Clay (“Electrify Design”, “we”, “us”), to you (“the client”, “you”). They apply to both consumers and business clients.
By requesting a quote, commissioning services, approving proofs, or otherwise engaging Electrify Design, you agree to be bound by these Terms & Conditions.
1. Services
Electrify Design provides creative and technical services including, but not limited to:
- Graphic design for print
- Digital design and artwork
- Website design and development
- Website and domain hosting management via third-party providers
- Print management and full print services
- Supply of print-ready artwork for third-party suppliers
All services, deliverables, pricing, and timescales will be agreed in writing prior to commencement.
2. Quotes, Orders & Payment
- All quotations are valid for 30 days from the date of issue.
- Electrify Design reserves the right to amend or withdraw quotations after this period.
- Work will commence upon written acceptance of the quotation.
- Invoices are payable within 30 days of invoice date (“30 days net”).
Electrify Design reserves the right to:
- Request a deposit prior to commencing work
- Suspend or withhold work where payments are overdue
2.1 Late Payment
Late payments may incur interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 (as amended):
- Interest charged at 8% above the Bank of England base rate
- Calculated daily from the due date until payment is made
- Recovery costs and statutory compensation may also be charged
All prices are exclusive of VAT unless stated otherwise.
3. Scope of Work & Variations
All work is based on the agreed quotation or proposal.
Any additional work, changes, or requests outside the original scope will be treated as a variation and may incur additional charges. Electrify Design will notify the client before proceeding where reasonably practicable.
3.1 Reasonable Amendments
Reasonable amendments are included only to the extent specified within the quotation, proposal, or project agreement.
For the purposes of these Terms, reasonable amendments generally include minor revisions to approved work, including:
- Corrections to spelling, grammar, punctuation, or typographical errors
- Minor text updates or replacements
- Adjustments to colours, sizing, spacing, alignment, or positioning
- Replacement of images or assets with alternatives supplied by the client
- Other minor changes that do not materially alter the approved design, functionality, structure, scope, or intended purpose of the project
Reasonable amendments do not include, and may be treated as additional chargeable work:
- Significant redesigns or changes in creative direction
- Structural design changes
- Changes to website layouts, navigation, user experience, functionality, or page structure
- Creation of additional concepts, design options, or revisions beyond those originally agreed
- Reworking or rebuilding previously approved work
- Content creation, copywriting, photography, illustration, or artwork not included in the original quotation
- Addition of new pages, features, functionality, integrations, products, or services
- Any request that materially increases the time, complexity, or scope of the project
Electrify Design reserves the right to determine whether a requested change constitutes a reasonable amendment or a variation to the original scope of work. Where a request falls outside the agreed scope, additional charges may apply. Where reasonably practicable, the client will be advised of any additional costs before the work proceeds.
4. Client Responsibilities
You are responsible for supplying accurate, complete, and lawful content, including:
- Text and copy
- Logos and images
- Contact details
- URLs, hyperlinks, and QR codes
You confirm you have the legal right to use all supplied materials and that they do not infringe third-party rights.
5. AI-Generated Images, Graphics & Digital Assets
Where requested by the client, Electrify Design may use artificial intelligence (“AI”) tools to generate or assist in the creation of images, graphics, illustrations, visual assets, content, design elements, or other digital materials.
The client acknowledges and agrees that:
- AI-generated outputs are produced using third-party technologies over which Electrify Design has limited control.
- AI-generated content may contain inaccuracies, anomalies, omissions, distortions, or unintended similarities to existing works.
- Electrify Design does not guarantee the originality, exclusivity, ownership, copyright status, trade mark status, legal validity, accuracy, or suitability of any AI-generated content.
- AI-generated content may become subject to future legal, regulatory, licensing, intellectual property, or platform-related changes that are outside Electrify Design’s control.
- The client is responsible for reviewing, verifying, and approving all AI-generated content before publication, printing, distribution, commercial use, or any other application.
- The client accepts responsibility for ensuring that AI-generated content is suitable, lawful, and appropriate for its intended use.
To the fullest extent permitted by law, Electrify Design accepts no liability for any claim, loss, damage, legal action, intellectual property dispute, regulatory issue, reputational damage, or financial loss arising from the use of AI-generated content once approved by the client.
Any rights that may exist in AI-generated content remain subject to the terms, conditions, licences, and limitations imposed by the relevant third-party AI platform or service used to generate such content.
6. Proofing, Feedback & Accuracy
Proofs will be supplied prior to final production, printing, or delivery.
You must carefully review:
- Content, spelling, grammar
- Layout and positioning
- Contact details
- URLs, links, and QR codes
Approval confirms the work is final and accurate.
If no feedback, approval, or instruction is received within 30 days of a proof being issued, Electrify Design reserves the right to:
- Treat the project as inactive
- Invoice all work completed to date, including work in progress
Electrify Design is not responsible for errors once approval has been given. Any resulting costs may be chargeable.
7. Print Services & Production
All print work is produced to industry standards.
- Colour variation may occur between screens and print processes
- Exact colour matching is not guaranteed unless agreed
- Minor finishing variations are not considered defects
8. File Supply & Third-Party Printers
Where files are supplied to third parties:
- Files are provided in good faith as print-ready
- Technical checks are performed where applicable
- Final responsibility for content accuracy remains with the client
Electrify Design is not responsible for third-party production, printing, or distribution issues.
9. Website Design, Hosting & Domains
9.1 General Responsibility
Electrify Design will take reasonable care in the development and setup of websites and hosting services. However, the client acknowledges that all websites connected to the internet carry inherent security risks.
Electrify Design does not guarantee that any website, server, or system will be immune from hacking, cyber-attacks, malware, viruses, or other security breaches.
9.2 Website Design & Development
- Projects may be delivered in stages
- Timely feedback is required from the client
- Approval is required prior to launch
Electrify Design is not responsible for post-launch issues unless covered by a maintenance agreement.
9.3 Security, Hacking & Malware
The client accepts full responsibility for maintaining the ongoing security of their website once it has been delivered or made live.
Electrify Design shall not be held liable for:
- Hacking, unauthorised access, or cyber-attacks
- Malware, viruses, or malicious code infections
- Data loss, corruption, or theft resulting from security breaches
- Downtime or performance issues caused by third-party attacks
Any investigation, repair, recovery, or reinstatement work following a security incident will be fully chargeable at Electrify Design’s standard rates, regardless of any prior work undertaken.
9.4 Updates & Maintenance
Unless a maintenance agreement is in place, Electrify Design is not responsible for:
- Updating CMS platforms, plugins, or themes
- Monitoring vulnerabilities or security risks
- Managing backups or restoring data
9.5 Hosting Services
Hosting and domain services are provided via third-party providers and are subject to their own terms and service levels.
To the fullest extent permitted by law, Electrify Design accepts no responsibility for:
- Server outages or downtime
- Infrastructure failures or interruptions
- Changes in service, pricing, or provider policies
9.6 Backups
Unless explicitly included in a service:
- Backup services are not guaranteed
- The client is responsible for maintaining their own backups
9.7 Legal Compliance
The client is solely responsible for ensuring their website complies with all applicable laws, including:
- Privacy policies
- Cookie policies and consent mechanisms
- GDPR and data protection regulations
- Terms and conditions
Any templates or guidance provided are without legal liability and should be reviewed by a qualified professional. Electrify Design accepts no responsibility or liability for any legal issues, claims, penalties, or losses arising from non-compliance.
9.8 Third-Party Software
Electrify Design is not responsible for:
- Security vulnerabilities in third-party plugins or tools
- Compatibility issues or software failures
- Data handling practices of external services
9.9 Client Access
Where the client or third parties are granted access to the website, Electrify Design is not responsible for any issues caused, including errors, security vulnerabilities, or downtime.
Any remedial, corrective, or recovery work required will be chargeable.
Important: Website & Hosting Summary
- Websites can never be guaranteed 100% secure – hacking and malware risks always exist
- Ongoing security, updates, and backups are the client’s responsibility unless a maintenance plan is in place
- Fixes for hacked or broken websites are chargeable
- Electrify Design is not responsible for third-party hosting, plugins, or downtime
- Legal compliance (privacy policy, cookies, GDPR, etc.) is the client’s responsibility
10. Deadlines, Delays & Project Suspension
All timescales are estimates unless agreed otherwise in writing.
Electrify Design is not liable for delays caused by:
- Late client feedback or materials
- Third-party suppliers
- Technical issues outside reasonable control
If a project is inactive for more than 30 days, Electrify Design reserves the right to:
- Pause or suspend the project
- Reallocate resources
- Revise timelines and/or pricing upon resumption
- Apply reactivation charges where applicable
11. Cancellations, Inactivity & Payment for Work to Date
If a project is cancelled, paused, or becomes inactive due to lack of communication, the client remains liable for:
- All work completed up to that date
- Any committed time or scheduled work
- Third-party or non-recoverable costs
Deposits are non-refundable unless agreed in writing.
12. Intellectual Property
All concepts, designs, and associated materials produced by Electrify Design remain the exclusive intellectual property of Electrify Design until full payment has been received in cleared funds.
- No licence, ownership rights, or rights of use are granted to the client until full payment has been made.
- Upon receipt of full payment, ownership of the final approved deliverables will transfer to the client, unless otherwise agreed in writing.
- Unpaid work, preliminary concepts, and unused designs shall remain the property of Electrify Design.
Where AI-generated images, graphics, illustrations, content, or other digital assets form part of the final deliverables, ownership and usage rights shall remain subject to any applicable third-party platform terms, licence restrictions, and legal limitations. Electrify Design makes no representation or warranty that exclusive ownership, copyright protection, registrable intellectual property rights, or enforceable rights can be obtained in relation to AI-generated content.
Portfolio and confidentiality: Electrify Design reserves the right to showcase completed work in its portfolio, case studies, social media, and other marketing materials. However, where Electrify Design is engaged by a creative, marketing, digital, or other agency as a freelancer, subcontractor, or white-label supplier, all work, information, materials, business processes, client details, and communications relating to that agency and its clients shall be treated as strictly confidential. Such work will not be displayed, shared, published, or referenced in Electrify Design’s portfolio or marketing materials without the prior written consent of the contracting agency.
13. Disputed Invoices
Any invoice queries must be raised within 7 days of invoice date.
Undisputed amounts remain payable within standard payment terms.
14. Limitation of Liability
Nothing excludes liability for death, personal injury, or fraud.
Electrify Design is not liable for:
- Loss of profits, business, data, or reputation
- Indirect or consequential loss
- Errors in approved work
Total liability is limited to the fees paid for the relevant project.
15. Consumer Rights
Nothing in these Terms affects your statutory rights under UK law.
16. Confidentiality
Both parties agree to keep non-public business information confidential unless required by law.
17. Force Majeure
Electrify Design is not liable for delays caused by events beyond reasonable control.
18. Governing Law
These Terms are governed by the laws of England and Wales.
